The handling of commercial real estate is far more complex than for residential tenancies. The risks for landlords are manifold: written form problems, late payments and breaches of contractual obligations are just some of them. You will learn how to draft your commercial leases in a legally compliant and advantageous manner, what you should pay attention to and how you can successfully and economically enforce your rights.

Drafting contracts and contractual clauses

  • Conclusion of contract, contract term and options, rent increase through graduated rent or price clause, rental security (guarantee and deposit).
  • Effective apportionment of operating costs, problems with the written form in long-term tenancies and the necessity of addenda, modernization measures as well as installations and conversions.
  • Warranty limitation in the event of material defects and defects of title, protection against competition and duty to operate, VAT issues.

  • Change of contractual partner.
  • Termination facts and termination agreement.
  • Restoration of the original condition.
  • Insolvency of the landlord or tenant.

Contract processing

  • Action for eviction and enforcement of further claims.
  • Claims for damages due to failure to carry out cosmetic repairs and delayed eviction.
  • Limitation of claims.
  • Supply freeze and eviction according to the "Berlin model".

Current case law

  • Among other things, agreement of operating obligations during statutory opening hours, content review of form rental agreements, liability for repayment of a cash deposit, termination without notice in the event of non-payment of the deposit.
  • Passing on administrative costs, capping maintenance and repair costs.
  • The problem of "cosmetic repair clauses".

"Commercial tenancy law predominantly involves long-term tenancies, combined with high investments on the landlord's side. For this reason, I believe it is essential that the employees responsible for drafting and concluding tenancy agreements have sufficient knowledge of commercial tenancy law. Of course, this applies equally on the tenant side.
Practice shows that this basic knowledge is often lacking. As a result, the hoped-for return on investment often does not materialize on the landlord's side. On the other hand, tenants have to bear additional costs over and above the rent that were not factored in when the lease was concluded."
